PREAMBLE

These Terms and Conditions ("Terms") form a legally binding agreement between VerseStudios ("Company," "Whot Arena," "we," "us," "our") and any person who accesses, registers for, browses, downloads, installs, uses, or otherwise interacts with the Whot Arena mobile application, website, dashboard, payment interfaces, support channels, or any related service, feature, content, software, or functionality made available by us (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, as may be updated from time to time. If you do not agree, you must not access or use the Platform.

Whot Arena is designed to offer Whot-based competitive gameplay, skill contests, practice sessions, leaderboard competitions, and related features. Depending on the format of a particular game or contest, participation may be free or paid, may involve competition entry fees, contribution amounts, ranking systems, skill rewards, recognition, or other competition-specific mechanisms disclosed on the Platform.

These Terms should be read together with any game-specific rules, contest rules, house rules, promotional rules, wallet rules, refund rules, bonus rules, KYC rules, privacy notices, and support notices published on the Platform from time to time. Where a specific game or promotion has special rules, those rules apply in addition to these Terms.

6. If you do not agree with any modification, your sole remedy is to stop using the Platform and close your account in accordance with these Terms.

7. Some features of the Platform may require additional terms, consents, or acknowledgements. Those additional terms become part of your agreement with us once accepted or once you use the relevant feature.

8. If any part of these Terms conflicts with a game-specific rule, the game-specific rule applies only for that specific game or contest, and only to the extent of the conflict.

SECTION E: NATURE OF THE PLATFORM AND SKILL DECLARATION

1. Whot Arena is designed and operated as a skill-based competitive gaming platform.

2. The principal outcome of gameplay depends on the player's knowledge of the game, decision-making, strategic thinking, timing, memory, anticipation, card management, and tactical judgment.

3. Although card shuffling or match setup may involve elements of randomness, skill, strategy, and player performance remain the dominant factors in determining outcomes. The Platform is not a game of pure chance.

4. By using the Platform, you acknowledge and agree that Whot Arena is a game of skill and not a game of chance or gambling.

5. You also acknowledge that different jurisdictions may interpret skill-based competition differently, and you remain responsible for complying with the laws that apply to you.

6. We may require you to accept an additional skill-competition acknowledgement before joining certain competitions or tournaments.

7. We reserve the right to modify game formats to preserve the skill-based character of the Platform, ensure fairness of play, and maintain compliance with applicable law.

8. Nothing in these Terms is intended to encourage any activity prohibited by applicable law.

SECTION F: LICENSE AND PERMITTED USE

1. Subject to your continued compliance with these Terms, we grant you a personal, revocable, limited, non-exclusive, non-transferable, and non-sublicensable right to use the Platform.

2. This license is granted solely for lawful participation in skill competition activities offered by Whot Arena.

3. You may not use the Platform for commercial exploitation, resale, redistribution, data harvesting, competitive intelligence, account brokering, or any use not expressly permitted by us.

4. You may not copy, modify, translate, reverse engineer, decompile, disassemble, derive source code from, or create derivative works from the Platform except where such restriction is prohibited by law.

5. We may suspend or revoke the license at any time if we suspect abuse, non-compliance, fraud, or risk to the Platform or its users.

SECTION G: COMPETITION RULES

1. General Rules

1.33 Each competition format on the Platform may have its own rules, scorekeeping method, timing logic, joining window, and winner determination method.

1.34 The rules shown on the game screen, contest page, room page, or tournament page form part of these Terms.

1.35 You must read the specific rules for each competition before participating.

1.36 By joining a competition, you agree to be bound by the applicable rules for that session.

2. Whot Gameplay

1.37 Whot Arena may use standard Whot rules, a digital adaptation of Whot rules, or a published variant depending on the mode selected.

1.38 A player is generally expected to play a card that matches the relevant symbol, value, suit, or game condition required by the rule set.

1.39 Players may be required to draw, catch, challenge, pass, or perform other actions depending on the room mode.

1.40 Where the Platform features timed turns, failure to act within the allotted time may result in an automatic skip, default action, penalty, or removal from the competition.

1.41 The system may enforce turn progression automatically to keep competitions moving.

3. Turn Timing and Active Play

1.42 A turn timer may apply in any room or tournament.

1.43 If you do not act within the time limit, your turn may be skipped automatically.

1.44 Repeated inactivity may lead to disqualification, forfeiture, or ranking penalties.

1.45 You must remain connected and responsive throughout a session if the competition format requires continuous participation.

1.46 We are not responsible for delay caused by your device, browser, app crash, unstable internet, low battery, or other local technical issues.

4. Leaving a Competition

1.47 In free competitions, leaving mid-session may result in no rank, no score, or no eligibility for rewards.

1.48 In paid competitions, leaving early may affect your ranking, score, reward eligibility, or refund rights depending on the specific contest rules.

1.49 The system may record your exit time, state of play, and remaining cards or score at the moment of departure.

1.50 If a competition allows rejoin functionality, it may be limited by time, room availability, and system rules.

5. Winner Determination

1.51 Winners (Top Performers) are determined based on the scoring formula, ranking method, and contest rules visible before or during the competition.

1.52 We may use tie-breakers, additional rounds, point differentials, response time, survival duration, or other published criteria.

1.53 Where ties occur, reward allocations may be split equally or distributed in another manner disclosed before the competition begins.

1.54 Our game results, system logs, and score calculations are final unless we determine there has been a clear technical error or integrity issue.

6. Competition Integrity

1.55 We reserve the right to pause, void, replay, rescore, or cancel any match where cheating, bot activity, sync issues, server failure, exploit abuse, or other irregularity is suspected.

1.56 You must not manipulate the scoring system, exploit loopholes, delay actions intentionally to harass others, or sabotage a room.

1.57 Any attempt to interfere with fair gameplay may result in penalties under the User Conduct section.

SECTION H: PAYMENT TERMS

1. General Payment Structure

1.58 The Platform may allow paid participation in selected competitions, rooms, tournaments, or events.

1.59 Payment structures may include competition entry fees, platform access fees, contribution amounts, service fees, or other charges disclosed before participation.

1.60 By entering a paid competition, you agree to pay the amount shown at the point of entry.

1.61 We may change fees from time to time, but any change will apply only where the fee is displayed before you join the relevant competition or service.

2. Platform Fees and Reward Pools

1.62 In a paid competition, part of the amount contributed by the user may be treated as a platform fee and the remainder may be allocated to the reward pool, depending on the format.

1.63 The platform fee covers access to the Platform, maintenance, hosting, support, security, game operations, fraud monitoring, payment processing coordination, and related costs.

1.64 The reward pool is the amount reserved for eligible top performers or reward recipients under the applicable competition rules.

1.65 Reward pools may be fixed, variable, dynamic, progressive, tournament-based, rank-based, or session-based.

1.66 Any reward amount shown on the Platform is subject to the stated rules, eligibility checks, and verification requirements.

3. Wallet Structure

1.67 The Platform may maintain separate ledger categories such as play balance, bonus balance, earnings balance, promotional balance, referral balance, pending balance, reserved balance, or other wallet types.

1.68 Each wallet balance may have different usage rules, expiry rules, withdrawal rules, and order-of-debit rules.

1.69 Unless otherwise stated, amounts contributed for gameplay may be used first for participation before any withdrawable earnings are used.

1.70 Promotional credits, bonus credits, referral rewards, or non-cash credits may be restricted from withdrawal.

1.71 We may correct wallet balances if we identify calculation errors, duplicate credits, reversals, chargebacks, fraud, or technical defects.

4. Contributions

1.72 Contributions must be made only through payment channels authorized by us.

1.73 You must not send funds to personal accounts, unauthorized agents, or payment routes not published on the Platform.

1.74 We are not responsible for money sent through unauthorized channels.

1.75 A contribution is considered received only when our internal or payment partner systems confirm it.

1.76 If a payment is delayed, reversed, disputed, or flagged, we may hold the related balance until the issue is resolved.

5. Withdrawal Requests

1.77 Withdrawals are subject to identity verification, bank verification, risk checks, compliance checks, and completion of any required review.

1.78 We may require additional information before approving a withdrawal, including proof of ownership of the destination account.

1.79 Withdrawal requests may be rejected, delayed, or reversed if the account is under review, the balance is disputed, or the activity appears suspicious.

1.80 We may set minimum or maximum withdrawal limits.

1.81 We may require withdrawal requests to be submitted only through the app or web interface.

1.82 Withdrawals will usually be made to your verified bank account or any other approved payout method made available on the Platform.

6. Processing Time

1.83 We will aim to process eligible withdrawals within a commercially reasonable time.

1.84 Processing time may vary because of verification, bank processing, public holidays, compliance review, risk review, queue volume, or operational issues.

1.85 We do not guarantee instant payment or a fixed processing window unless we explicitly state otherwise.

7. Refunds and Cancellations

1.86 If a competition is cancelled before completion, we may refund the relevant entry amount, minus amounts already disclosed as non-refundable where permitted by law.

1.87 If a payment is received but the relevant amount is not credited correctly because of a technical error, we will investigate and correct the issue where appropriate.

1.88 If a competition is voided, replayed, or cancelled, we may refund entries or issue equivalent credits according to the published refund rule for that competition.

1.89 Refunds may be issued back to the original payment source, to your wallet, or through another method we choose, subject to law and payment system limitations.

8. Chargebacks and Reversals

1.90 If a contribution is reversed, disputed, charged back, or later found to be unauthorized, we may deduct the affected amount from your wallet, balance, earnings, or future payouts.

1.91 We may freeze the account until the issue is resolved.

1.92 You are responsible for all fees or losses arising from reversals caused by your payment provider, bank, card issuer, or your own dispute conduct.

9. Taxes

1.93 You are responsible for any taxes, duties, levies, reporting obligations, or other fiscal responsibilities that apply to your use of the Platform or to any rewards you receive.

1.94 Where applicable law requires tax withholding, reporting, or deduction, we may make the necessary deduction or reporting and may ask you for supporting information.

1.95 We may issue statements, receipts, or payout records where required or reasonably possible.

1.96 You are responsible for ensuring that your tax affairs comply with the laws applicable to you.

10. No Interest

1.97 Unless expressly stated otherwise, balances held in wallet or ledger categories do not earn interest.

1.98 We are not a bank and do not provide deposit-taking services unless explicitly stated in a separate regulated arrangement.

SECTION I: REWARD, RECOGNITION, AND BONUS TERMS

1. Reward eligibility depends on compliance with these Terms, the specific competition rules, and verification requirements.

2. We may withhold rewards where fraud, collusion, misreporting, cheating, device manipulation, or rule breach is suspected.

3. A listed reward may be subject to verification before release.

4. Rewards may be cash, wallet credit, vouchers, entry credits, promotional bonuses, merchandise, leaderboard badges, achievement recognition, or other reward types disclosed on the Platform.

5. Where rewards are shown before a competition begins, the displayed amount or structure may still depend on the number of participants, the number of valid entries, ranking, or other room conditions.

6. Promotional bonuses may have expiry dates, usage rules, competition restrictions, or withdrawal restrictions.

7. We may revoke a reward if it was credited in error or obtained through abuse.

8. Reward claims not completed within the time limit stated on the Platform may be forfeited where permitted by law.

SECTION J: VERIFICATION FOR REWARDS AND WITHDRAWALS

1. Before a withdrawal or reward payout is approved, we may require identity verification and bank account verification.

2. We may request a copy of a valid government-issued ID, selfie verification, proof of address, bank statement, account ownership proof, or any other document needed to complete the review.

3. The name on the payout account should correspond with the verified name on your account.

4. If any information submitted is false, incomplete, outdated, inconsistent, forged, altered, misleading, or suspicious, we may reject the payout, freeze the account, or take further action.

5. We may also request that you verify your phone number, email address, or device before release of funds.

6. We may place a temporary hold on payouts during fraud checks, compliance checks, legal review, dispute review, or technical review.

7. If you do not complete verification within the period we specify, we may hold or forfeit the pending payout where legally allowed.

8. We may refuse payout where the account appears linked to multiple identities, proxy activity, bonus abuse, or suspicious conduct.

SECTION K: USER CONDUCT

1. Prohibited Conduct

You agree that you will not, directly or indirectly:

1.99 Use bots, scripts, scrapers, crawlers, emulators, automation tools, unauthorized APIs, reverse engineering tools, or similar methods to access, monitor, copy, manipulate, or exploit the Platform.

1.112 Copy, republish, resell, redistribute, frame, mirror, or commercially exploit the Platform or its content without our written permission.

1.113 Engage in any activity that we consider harmful to the fairness, stability, reputation, security, or lawful operation of the Platform.

2. Fair Play Policy

1.114 You must play honestly and in good faith.

1.115 You may not intentionally stall, throw a competition, coordinate with another player to manipulate rankings, or use a second device or account to influence an outcome.

1.116 Patterned abuse, suspicious contribution-and-withdrawal behavior, referral abuse, and exploit-driven gameplay may trigger review or restriction.

1.117 We may take action against accounts that appear to be used for unfair accumulation of rewards, bonuses, or prize access.

3. Consequences of Breach

1.118 Where we believe a breach has occurred, we may warn you, restrict your access, suspend your account, cancel rewards, reverse entries, withhold withdrawals, remove bonuses, or terminate your account.

1.119 We may also report conduct to banks, payment partners, telecom providers, regulators, law enforcement, or other relevant third parties where appropriate.

1.120 Our decision on whether conduct violates this section is final, subject to applicable law and any mandatory dispute process.

SECTION L: SECURITY
